Plan Purchase Agreement
By completing the order form and submitting payment, the Sponsor confirms that it has read, understood, and agreed to all terms of this Plan Purchase Agreement.
1. Sponsor Representations and Warranties
The Sponsor (hereinafter, the “Sponsor”) represents and warrants that all information and materials it provides to Feversocial are true and accurate, and that all marketing content it publishes through the Feversocial platform during the plan period is lawful and truthful, and free of any fraud, falsity, misleading statements, exaggeration, or violation of public order or good morals.
2. Usage Rules
The Sponsor’s campaign design and content must not violate the Feversocial Terms of Service, the Feversocial Privacy Policy, or the operating policies of any third-party platform (such as Facebook, Instagram, or LINE).
3. Intellectual Property and Indemnification
If any content the Sponsor creates, maintains, or updates (including but not limited to text, images, video, and trademarks) violates any law or infringes the intellectual property or other rights of a third party, the Sponsor shall bear full legal responsibility and shall indemnify Feversocial against any resulting damages. If a third party brings any claim, demand, or lawsuit against Feversocial as a result, the Sponsor shall be responsible for handling and defending the matter, and shall bear all costs Feversocial incurs as a result (including but not limited to reasonable attorneys’ fees), any damages awarded, or any settlement amount.
4. Right to Remove Content
If any of the circumstances described in Sections 1, 2, or 3 occur, Feversocial may suspend or remove the relevant campaign content without prior notice, and the Sponsor may not object.
5. Platform Service and Maintenance
a. Platform outage response: If a platform outage prevents system login or campaign participation, Feversocial will use its best efforts to resolve the issue within twenty-four (24) hours of receiving the Sponsor’s notice. If the outage is attributable to Feversocial and is not resolved within that period, Feversocial will compensate the Sponsor with an equivalent amount of platform usage time, rounding any partial day up to a full day. This service-time compensation constitutes the Sponsor’s sole and exclusive remedy for such a service outage.
b. Reliance on third-party services: Feversocial bears no responsibility for platform technical outages not attributable to Feversocial, such as issues with Facebook, LINE, Amazon AWS hosting, or any third-party API.
c. Platform feature updates: If circumstances not attributable to Feversocial (including but not limited to market conditions or changes in third-party platform policy) require Feversocial’s system features to be updated, Feversocial may make adjustments at its professional discretion after notifying the Sponsor, provided that the adjusted service remains of equivalent value and does not materially diminish the paying Sponsor’s core rights.
d. High-traffic rules: For Sponsors on the Agile Single-Event Plan, Quarterly Sprint Plan, Agile 4-Event Bundle, or Social Engagement Plan, total traffic across all concurrently live campaigns and marketing pages must not exceed 100 sessions/minute, 500 sessions/hour, 6,000 sessions/day, or 30,000 sessions/month. For Sponsors on the Data Marketing Plan or Omnichannel Enterprise Plan, total traffic must not exceed 200 sessions/minute, 1,000 sessions/hour, 12,000 sessions/day, or 60,000 sessions/month. If the Sponsor expects traffic to exceed the limit for its purchased plan, it must submit high-traffic advance notice through the “Live Chat Support” in the Feversocial platform dashboard at least five business days before the campaign launches, and purchase additional server capacity. Otherwise, the Sponsor is solely responsible for any losses resulting from system unavailability or campaign suspension caused by exceeding the traffic limit. For detailed overage fee rates, see https://info.feversocial.com/tw/bandwidth-traffic-fees-85.
e. Information security testing rules: If the Sponsor intends to conduct any information security testing service (including but not limited to vulnerability scanning, penetration testing, or stress testing), it must notify Feversocial in writing or by email at least five business days in advance. The notice must specify the test schedule, target scanning scope, and testing methods to be used. Feversocial strictly prohibits any activity that could disrupt platform service, affect system integrity or availability, or harm Feversocial’s infrastructure, including but not limited to:
1. Distributed denial-of-service (DDoS) attacks or any traffic-overload attacks.
2. Exploiting known vulnerabilities (exploitation).
3. Testing any system or scope not previously authorized by Feversocial.
4. Any act that could result in the leakage, alteration, damage, or loss of Feversocial data or customer data. If the Sponsor or its representatives fail to comply with this section when conducting tests, resulting in platform service disruption or other harm, the Sponsor bears full responsibility for all resulting losses and liabilities.
6. Platform Role and Data Accuracy
The Sponsor understands that Feversocial merely provides an information platform with marketing mechanisms, and Feversocial does not guarantee that the Sponsor will obtain any particular number of campaign participants during the plan period. Feversocial also does not guarantee the truthfulness, accuracy, or uniqueness of the data participants submit. The Sponsor is responsible for assessing the level of identity verification its campaign design requires, and should make appropriate use of any security features the platform provides to manage the risk of participants submitting false or fraudulent data.
7. Activation, Refunds, and Plan Changes
a. Refund policy: If, within fourteen (14) days of completing payment, the plan has not been activated or used in any way, the Sponsor may terminate this Agreement by written notice and request that Feversocial refund the plan fees paid, provided that Feversocial may deduct ten percent (10%) of the total plan fee as an administrative processing charge. Any fees already incurred for initial system setup the Sponsor requested are non-refundable. No refund request will be accepted after this fourteen (14) day period, or once the plan has been activated or used.
b. Activation deadline and plan version: In principle, the Sponsor should activate its plan within fourteen (14) days of completing payment. If the Sponsor needs to delay activation for its own planning reasons, it may propose this at the time of purchase and agree with Feversocial in writing on a specific final activation date. If the Sponsor activates the plan on schedule (or by the extended date both parties agreed to), it will receive the benefits under the original plan’s content and price. If the Sponsor fails to activate the plan within the agreed period for its own reasons, Feversocial does not guarantee that a discontinued plan will still be available, and may negotiate with the Sponsor to provide an equivalent alternative plan at that time.
8. Plan Expiration
If the Sponsor does not renew after its annual plan expires, Feversocial has the right to take the website offline and cancel the custom domain setup within one month of expiration. The Sponsor may instead choose to pay a basic annual system maintenance fee to keep the domain setup and all published pages (though it may not publish new content). The maintenance fee is charged starting from the point of non-renewal, prepaid one year at a time. The rate is calculated from the “monthly traffic cap,” based on the average monthly traffic (sessions) over the last three months before the partnership ends, with all data taken from Google Analytics. For the Standard Plan, the annual maintenance fee is NT$3,800 (excluding tax) per year for every 10,000 sessions (any amount under 10,000 is rounded up to 10,000), and so on. For the Enterprise Plan, the annual maintenance fee is NT$10,000 (excluding tax) per year for every 100,000 sessions (any amount under 100,000 is rounded up to 100,000), and so on.
9. Termination of Agreement
If the Sponsor breaches this Agreement, or if the Sponsor undergoes a material event during the plan period such as suspension of business, closure, revocation of registration, filing for reorganization, bankruptcy, or dissolution and liquidation, Feversocial has the right to immediately suspend service or terminate this Agreement, and is not required to refund any fees the Sponsor has paid.
10. Limitation of Liability and Disclaimer
a. Services provided as-is: The Sponsor understands and agrees that, to the fullest extent permitted by law, all services and platform features Feversocial provides are furnished on an “AS IS” and “AS AVAILABLE” basis. Feversocial makes no express or implied warranty regarding any specific feature, reliability, availability, or the service’s ability to meet the Sponsor’s particular needs.
b. Sponsor responsibilities: The Sponsor is responsible for safeguarding all account information (including but not limited to usernames and passwords) that it and its authorized users use to access the platform, and for preventing unauthorized use. The Sponsor is also fully responsible for all content and data it publishes, collects, or processes through the platform, including its legality and any disclosure obligations to end users.
c. Exclusion of indirect losses: Under no circumstances will either party be liable to the other for any indirect, incidental, special, or consequential losses, punitive damages, lost profits, lost revenue, loss of goodwill, business interruption, or loss of data (including the cost of recovering it) arising from this Agreement or use of the service.
d. Cap on liability: If Feversocial breaches this Agreement or any obligation related to the service due to circumstances attributable to Feversocial (including but not limited to service interruption or platform errors), Feversocial’s total cumulative liability to the Sponsor for any and all damages, compensation, or penalties under this Agreement will, under all circumstances, not exceed the total plan fees the Sponsor actually paid to Feversocial in the twelve (12) months preceding the date the relevant event first occurred. This liability cap constitutes Feversocial’s sole and total monetary liability to the Sponsor.
This liability cap does not apply, however, in any of the following cases: 1. Feversocial’s intentional misconduct. 2. A data security incident caused by Feversocial’s “gross negligence.” 3. Liability that may not be excluded or limited in advance under the laws of the Republic of China (Taiwan).
Both parties expressly agree that, for purposes of item 2 above, “gross negligence” means Feversocial’s failure to fulfill or continuously maintain its information security obligations (including but not limited to compliance with the ISO 27001 information security management standard, the Personal Data Protection Act, and other applicable laws), resulting in a data leak affecting the Sponsor.
e. Order of precedence: This section on limitation of liability and disclaimer takes precedence over any other provision in this Agreement regarding damages or liability that may conflict with or be inconsistent with it.
11. Other Provisions
a. Governing law and jurisdiction: Any matter not addressed in this Agreement will be governed by the Civil Code of the Republic of China (Taiwan) and other applicable laws. Should any dispute arising from this Agreement result in litigation, both parties agree that the Taipei District Court, Taiwan, will have jurisdiction as the court of first instance.
b. Entire agreement: When completing the order form, the Sponsor should read this online purchase notice in full; it is considered part of the formal Agreement. If the parties have separately executed a written contract for a specific engagement, that written contract will take precedence over this online purchase notice.
By applying to purchase this plan, you confirm that you have read, understood, and agreed to the Feversocial Terms of Service, the Feversocial Privacy Policy, and all terms of this Plan Purchase Agreement above. If you violate the above policies, rules, or agreement, Feversocial may suspend or terminate the service you purchased at any time. If you do not agree to the above policies, rules, or agreement, please do not apply to purchase this plan.
